Five McCarter attorneys, resident in four of the firm’s offices and four of its practice groups, have been elevated to partnership. The new partners, effective April 1, 2019, are Philip Amoa, a Philadelphia- and Delaware-based corporate attorney; Kevin Conoscenti, a Washington, DC-based environmental and energy attorney; Newark-based David Kane and Ryan Richman, who practice in insurance coverage and products liability, respectively; and Matthew Uretsky, an East Brunswick-based corporate attorney.
Philip D. Amoa focuses his practice on mergers and acquisitions, venture capital and private equity, Delaware corporate governance issues, and other corporate and commercial matters. He represents early stage, emerging growth, and middle-market companies as well as the investors, executives, and boards of directors who support and lead them. Philip is a leading member of the firm’s Delaware corporate and alternative entity law group. He also has extensive experience in the organization and structuring of all forms of Delaware business entities, including providing third-party legal opinions. As part of his Delaware law practice, he counsels clients on governance issues, including fiduciary duties, risk oversight, conflicts of interest, board and committee structure, and special committee investigations. Philip is a member of the National Association of Corporate Directors (NACD) and earned the designation of NACD Governance Fellow. He serves on the Board of Directors of The Board of Pensions of the Presbyterian Church (USA), the corporate entity established to manage about $10 billion in assets for its pension plan. Philip was also named among The Legal Intelligencer’s “Lawyers on the Fast Track” and is recognized as a Pennsylvania Super Lawyers Rising Star in the area of mergers and acquisitions.
Kevin Conoscenti represents the interests of electric and natural gas market participants, particularly municipalities, rural electric cooperatives, and natural gas joint-action agencies, in a wide range of business transactions and administrative proceedings. He represents these clients in litigation before the Federal Energy Regulatory Commission and state public service commissions concerning the rates, terms, and conditions of service for electric transmission and natural gas transportation. Kevin helps clients acquire long-term supplies of natural gas at below-index rates through prepaid natural gas supply contracts funded by municipal bond financings and has negotiated numerous electric utility business transactions, including agreements for power supply and capacity, transmission access and service, and resource acquisition. He has negotiated lease agreements for the operation and maintenance of behind-the-meter distributed energy resources. For more than a decade, he has represented consumer interests in the District of Columbia in proceedings before the D.C. Public Service Commission.
David Kane is a member of the firm’s insurance recovery, litigation & counseling group. For more than a decade, he has represented policyholders seeking recovery under all types of insurance policies, including commercial liability, property, directors and officers, and errors and omissions coverage. He handles complex insurance coverage litigation in state and federal courts nationwide, as well as disputes involving insurance producers. Committed to public service, David previously served a three-year term as an elected member of the Manalapan Township Committee and remains a member of both the Planning Board and Environmental Commission. His pro bono work includes securing asylum in New York City Immigration Court for refugees and expunging criminal records for individuals seeking employment.
Ryan Richman finds practical and efficient solutions for clients’ complex business needs. He is a commercial litigator with a diverse civil litigation practice, defending corporations in complex product liability, premises liability, business disputes, construction, catastrophic personal injury, wrongful death, and property damage cases. He has also defended commercial developers and handled dram shop actions. His products liability practice includes defending single-plaintiff, mass tort, and class-action claims brought against manufacturers and pharmaceutical corporations. Committed to public service, Ryan is involved in guardianship and estate matters in the Superior Court of New Jersey representing incapacitated persons and assists unaccompanied children seeking citizenship in the United States. Ryan’s extensive pro bono work has been recognized by KIND twice—Ryan was named pro bono attorney of the month in 2017, and he was presented with the 2018 pro bono award. He serves on the Supreme Court Civil Model Jury Charge Committee and on sits on the board of the New Jersey Defense Association. Ryan has also been named “Young Lawyer of the Year” by the NJDA, has been a New Jersey Super Lawyers Rising Star since 2016, and was named an Empire State Counsel Honoree for his pro bono work.
Matt Uretsky advises entrepreneurial clients in technology-driven industries in general corporate, transactional, and securities law matters. He advises on entity formation, venture capital and private equity financing transactions, securities law compliance, mergers, acquisitions and divestitures, consulting agreements, corporate governance, and due diligence on transactional matters. Matt is an active speaker on the latest in the venture capital space as well as in emerging areas such as blockchain, smart contracts, and digital currencies. He is an advisor to New York University’s Summer Launchpad Program and the Princeton Tech Meetup, has been recognized as a New Jersey Super Lawyers Rising Star in each of the past three years, and was named to Strtup Boost’s “33 Under 33” list.
