San Francisco Bar Explains The Benefit Corporation

In an event sponsored by the Bar Association of San Francisco, Jonathan Storper, chair of the Corporate, Securities, Tax, and Sustainable Business Practice Group with Hanson Bridgett LLP, will explain the benefit corporation.

Understanding the Benefit Corporation will run from noon to 1:30 p.m. at the BASF Conference Center, 301 Battery Street in San Francisco on Tuesday, May 24.

Corporations codes across the United States are changing in response to a demand for social responsibility in business in the following ways: benefit corporations are a new class of for-profit entities that create a material positive impact on society and the environment; new definitions of director and officer fiduciary duty require consideration of non-financial factors in decision making; expanded shareholder rights enhance the ability to enforce higher standards; nationally recognized third-party compliance standards mitigate the risk of green-washing; and corporations code changes have been introduced in 11 states, passed in 3, and are now pending in California.
