PLI To Present A Corporate Governance Update

A Practising Law Institute seminar titled Corporate Governance - A Master Class 2009 will take place on Wednesday, February 18 at the PLI Center, 810 Seventh Avenue, New York City, starting at 8:30 a.m. and concluding and 5 p.m.

It will be chaired by David M. Becker, Cleary Gottlieb Steen & Hamilton LLP and James R. Doty, Baker Botts LLP. They will be joined by, among other experts, Brian V. Breheny, deputy director, Legal and Regulatory Policy, Division of Corporation Finance, U.S. Securities and Exchange Commission; David E. Brodsky, Cleary Gottlieb Steen & Hamilton LLP; Peter W. 2008 saw unprecedented tumult in the financial markets - the bailouts of Fannie Mae, Freddie Mac, and AIG, as well as the demise of Bear Stearns, Lehman Brothers and Washington Mutual as we know them. These events brought to the forefront the issues of corporate responsibility, governance and governmental regulation. Corporate counsel, both in-house and outside, are now left to make sense of the new rules and legal challenges facing boards and senior managers. More changes in the governance landscape are looming in light of the newly constituted SEC, the impending overhaul of our regulatory system, and the implications of the continuing crisis in the financial markets.

Participants will learn how corporate general counsel are adjusting and reacting to challenging regulatory developments; how regulatory expectations have evolved; how shareholders see the legal landscape; how the courts assess issues of governance and compliance; and what legal counsel is supposed to do about the governance challenges.
