PLI Seminar In New York City: Drafting Corporate Agreements

You have an agreement in principle, but now it must be reduced to writing.On Wednesday, January 7, the Practising Law Institute will sponsor a program titled Drafting Corporate Agreements 2009 that will instruct the participants how to convert a "meeting of the minds" into a complete, clearly written enforceable agreement. The program will be held at the PLI Conference Center at 810 Seventh Avenue in NewYork City, commencing at 9 a.m. and concluding at 5:30 p.m.

The instructors include program chair Gavin D. Solotar, Wachtell, Lipton, Rosen & Katz; Andres C. Mena, Kirkland & Ellis LLP; Michael S. Sackheim, Sidley Austin LLP; L. Kevin Sheridan, Goodwin Procter LLP; and Eric Alan Stone, Paul, Weiss, Rifkind, Wharton & Garrison LLP.

They will provide an understanding of how the provisions of an agreement are connected and where the tough issues usually arise. Specifically the discussions will cover fundamental drafting principles; key terms of common transactional agreements and how they are organized; when and how to use a letter of intent; the intricacies of employment agreements; the wide range of M&A agreements, both public and private; and ethical issues in drafting corporate agreements.
