Northeast ACC Hosts Boston Seminar On Executive Pay

On Wednesday, May 5 the Northeast Chapter of the Association of Corporate Counsel is sponsoring a CLE event entitled Executive Pay under Fire - What In-House Counsel Need to Know Now!

The seminar will be held at the offices of McDermott Will & Emery at 28 State Street in Boston and will begin at 3:30 pm. and end at 6:00 p.m.

Attendees will hear timely and practical advice regarding the highly sensitive area of executive compensation. Roughly 400 companies that received bailout money will have to allow a shareholders vote on their executives' pay this year, and in-house counsel need to stay a step ahead of the curve in order to provide the correct advice on executive compensation decisions.

The first session of the program will discuss tax traps for general counsel. Participants will learn about common tax deduction mistakes made by public companies for bonus and equity compensation programs, and they will learn of the latest controls and IRS regulations for proxy filings.

The second session will cover say on pay and what the future holds. Topics include what say on pay will look like next year and the requirements for disclosures, the size of the pay and the type and mix of payment vehicles.The panel will also discuss what strategies are useful to prevent a shareholder veto of a compensation program.

The speakers include Hye-Won Choi, senior vice president and head of corporate governance at TIAA-CREFF; Alan J. Glass, vice president, general counsel and secretary, CIRCOR International, Inc.; and Ira Mirsky, counsel, McDermott Will & Emery.
