Morrison & Foerster advises industrial tech company, Vontier Corporation, in $1.6 billion bond offering

Morrison & Foerster advised Vontier Corporation ("Vontier") (NYSE: VNT), a global industrial technology company focused on transportation and mobility solutions, in connection with its 144A private offering of $1.6 billion of senior notes. The notes are guaranteed by two of Vontier’s wholly owned subsidiaries, and, in connection with the offering, those guarantors were added as guarantors under Vontier’s credit facility.

The joint book-runners for the offering were Citigroup, Morgan Stanley, BofA Securities, Goldman Sachs & Co. LLC, J.P. Morgan, Scotiabank, SMBC Nikko, and Wells Fargo Securities. BNP Paribas, PNC Capital Markets LLC, TD Securities, Truist Securities, UBS Investment Bank, and US Bancorp acted as co-managers for the offering.

The MoFo deal team was led by corporate partner Justin Salon and corporate of counsel Emily Beers and included corporate associates John Hensley and Meredith Carr.
