LACBA Seminar Will Examine Recent Corporate Law Developments

The Los Angeles County Bar Association (LACBA) this month is offering a a Cle seminar titled Business and Corporations Law Update.

The program will take place on Friday, April 13 from 9 a.m. to 2:45 p.m. at the Sheraton Delfina Santa Monica, 530 West Pico Boulevard, Santa Monica, CA.

Speakers will examine California and Delaware state case law and statutory developments affecting corporate practice including fiduciary duties of directors in merger and acquisition and other transactions, and the changing dynamics in the relationship between directors and stockholders of public and private corporations.

Speakers also will examine the concept of a "change of control" committee of the board of directors of the target company in connection with acquisitions of public companies, and the role such a board might play, given the heightened board independence requirements resulting from recent legislation, including Sarbanes-Oxley.
