Greater New York ACC Focuses On Contracts

The Greater New York Chapter of the Association of Corporate Counsel will present a program titled Achieving 20/20 Hindsight: Practical Solutions to Avoid Rescission, Unenforceability and Misinterpretation of Your Contracts.The course is on Wednesday, June 8 at the Cornell Club, 6 East 44th Street in Manhattan.

It runs from 6:15 p.m. until 7:55 p.m.

Through interactive discussion among in-house general corporate counsel, outside litigation counsel and transactional counsel, the program will present critical practical pointers in dealing with troublesome issues arising before, during and after agreements are memorialized. Litigation counsel will share revealing insights about how to avoid drafting pitfalls based on actual court cases in which agreements have been challenged, nullified and interpreted. General counsel will offer suggestions on how to deal with drafting issues and often unavoidable ambiguous contractual language in the context of degrees of bargaining power and the demands of management - and how to document the transactional record for future guidance and protection. Transactional counsel will share their experience in implementing practical solutions. The issues will be presented through an analysis of frequently arising hot issues currently appearing and reappearing in the courts.Some of the topics are claims of fraud and breach of fiduciary duties in buy-outs, mergers and acquisitions; claims relating to indemnification and defense sought by officers, directors and managers; and claims involving the implied covenant to refrain from soliciting customers in asset acquisitions and buy-outs.
