Choice And Acquisition Of Entities: Topic Of Houston Seminar

The State Bar of Texas has scheduled a live seminar for Friday, May 28, titled Choice and Acquisition of Entities in Texas 2010 at the Westin Oaks Hotel, 5011 Wetsheimer in Houston. The seminar will begin at 8:15 a.m. and end at 5:15 p.m.

The decision whether to use a corporation, limited liability company, or partnership when organizing a business entity usually focuses on how the entity and its owners will be taxed and the extent to which the entity will shield its owners from liabilities arising out of its activities. These and other factors continue to rank high on the decision tree in times of economic turmoil.

In this seminar, leading business practitioners from across the state will analyze the legal and tax characteristics of each form of business entity and business combination. The panelists will address continuing issues under the Texas Business Organizations Code and the so-called Texas Margin Tax.

Among the faculty are John C. Ale, Skadden Arps Slate Meagher & Flom LLP; Michael K. Pierce, Thompson & Knight LLP; Frank Z. Ruttenberg, Winstead PC; and Elizabeth S. Miller, professor of law, Baylor University School of Law.
