The firm of Akin Gump Strauss Hauer & Feld will present The Art of Crafting Stockholder Agreements. The luncheon will be held on Thursday, March 11 from noon until 1:30 p.m. at the offices of Akin Gump, One Bryant Park in New York City. The program is free and includes lunch.
The speaker, Ackneil M. Muldrow, a partner at Akin Gump, will discuss stockholder agreements and how they are critical tools for memorializing how parties want to maintain their relationship after the close of a transaction.Mr. Muldrow will address the numerous questions that arise in connection with the rights that stockholders should seek to protect in the process.Topics will include what corporate governance rights should be sought with issues such as oversight veto rights over mergers and/or acquisitions. Also under consideration will be the kind and types of liquidity that the agreement will provide stockholders, as well as the economic rights of both the stockholder and the company.
