The D.C. Bar Association will present a two-part series in November titled Advanced Commercial Leasing Series: The Ins and Outs. Part I of the series will be held on Monday, November 10 at the D.C. Bar Conference Center, 1250 H Street, NW, in Washington, D.C. The second part of the series will be held at the same location on Monday, November 17. On both evenings the program will begin at 6 p.m. and conclude at 9:15 p.m.
The series is intended to provide an overview of commercial leasing fundamentals that are ideal for both the commercial practitioner and the beginning professional wanting to learn more about commercial leasing. Faculty will cover crucial lease clauses, examine the negotiation process, and explore work agreements.
Part 1 will introduce attendees to the commercial leasing process beginning with letters of intent. The discussion will consider binding vs. non-binding letters of intent, critical items to include, and the proper role of attorneys in letter of intent negotiations. Common lease clauses in the District of Columbia will be reviewed, highlighting such topics as operating expense inclusions and exclusions, security deposits, letter of credit, electric power issues, telecommunication issues, and defaults and remedies.
Part II of the series will cover such topics as assignment and subletting, compliance with laws, work letters and work agreements, alterations and repair obligations, determination of commencement date, and definition and measurement of the premises. The faculty, which will include Edward Bloom, Bell, Boyd & Lloyd LLP; Edward West, Covington and Burling; James Hoyt, Linowes and Blocher LLP; and Marc A. Sobel, JM Zell Partners Limited, will explore bankruptcy issues and subordination agreements. Also reviewed in the second session will be tenant maintenance, estoppels, non-disturbance agreements, and building shell requirements lists.
