ACC San Francisco Plans Securities Exchange Act Introduction

The San Francisco Bay Area ACC chapter has scheduled a lunchtime seminar titled Introduction to the Securities Exchange Act of 1934 for Thursday, November 13, from 11:30 a.m. until 1:30 p.m. at the Offices of Fenwick & West, Silicon Valley Center, Mountain View, CA.

Speakers Horace Nash and David L. Teichmann will discuss the following topics: why we have securities laws, the role of the in-house securities lawyer, forms 10-K, 10-Q, and 8-K, proxy statements, Forms 3, 4 and 5, practical advice on compliance, and elements of corporate governance.

This is intended to be an introductory program for in-house counsel with less than three years of experience in corporate securities matters or a refresher for more seasoned attorneys.

Horace Nash, corporate partner and chair of the Securities Group ofFenwick & West, is a frequent speaker on corporate governance and securities law developments. In 2005 he was named Dealmaker of the Year by American Lawyer magazine.

David Teichmann, senior vice president, general counsel, and corporate secretary ofTrident Microsystems, Inc. will provide the in-house perspective.
