
Terrestrial Energy announced the appointments of Brian Thrasher as Chief Financial Officer (CFO) and Brian Romanzo as General Counsel and Corporate Secretary.
These strategic hires aim to strengthen the company's executive leadership as it prepares to transition into a publicly listed company. The appointments coincide with Terrestrial Energy's planned business combination with HCM II Acquisition Corp. (NASDAQ: HOND), resulting in Terrestrial Energy being listed on the Nasdaq under the ticker symbol “IMSR.”
Brian Thrasher brings over 25 years of financial leadership experience across various industries, including transportation, manufacturing, and retail. His background encompasses executive management roles and positions as officer and director at multi-billion-dollar public and private companies in the U.S., including Hilco Transport, Hanesbrands, Alliance Laundry Systems, and Simmons Bedding Company. Thrasher's expertise includes strategic financial planning, public market reporting and financing, budgeting, forecasting, and systems development and implementation. He holds a BBA from Acadia University and a Master of Accountancy from The University of Alabama. Thrasher is a CPA licensed in North Carolina and a member of both the North Carolina Association of Certified Public Accountants (NCACPA) and the American Institute of Certified Public Accountants (AICPA).
Brian Romanzo joins Terrestrial Energy with extensive experience in corporate, regulatory, and transactional matters across industries such as automotive, consumer electronics, and franchising and distribution. Prior to this role, he served as Secretary and General Counsel at The Rep'M Group and held positions as Vice President, General Counsel, and Secretary of SnapAV, where he led legal strategies for mergers and acquisitions, including the take-private acquisition of Control4. Romanzo also held key legal leadership roles at Driven Brands, Inc., serving as Vice President and Deputy General Counsel, and concurrently as General Counsel of Meineke Car Care Centers. He earned a J.D. from the University of Notre Dame, received Postgraduate Diplomas in Law and Theology from Oxford University, and holds a Bachelor of Arts from Princeton University.
These appointments are part of Terrestrial Energy's efforts to enhance its leadership team in anticipation of its public listing and to support the development and deployment of its advanced nuclear technology.
