Seminar Focus: Preparing An IPO

The New Jersey Institute of Continuing Legal Education (NJICLE) this month is planning a CLE seminar titled Preparing an Initial Public Offering (IPO).

The program will take place on Thursday, March 10 from 9 a.m. to 1 p.m. at the New Jersey Law Center, Ryders Lane Exit off Route One, New Brunswick, NJ.

As market conditions continue to improve, it is essential that attorneys, investment bankers, accountants and business executives understand the process a company needs to follow to go public. This course will provide a roadmap through the intricate process of preparing an IPO in today's market.

The session is designed to provide a step-by-step guide to preparing an initial public offering, including how to decide whether to go public, how to choose the right underwriter, time line and costs of an IPO, special considerations regarding certain kinds of companies, the registration process, how to draft the registration statement, steps to complete the initial registration, accounting issues that may arise, the role of the underwriter and the underwriter's paperwork, SEC procedure, and due diligence review.

Speakers will include W. Raymond Felton, former chair, New Jersey State Bar Association Business Law Section; Steven K. Brisgel, first vice president-financial advisor, Citigroup, Smith-Barney; George J. Holder Sr., senior managing director, Citigroup-Geneva Capital Strategies; Laura R. Kuntz, Lowenstein Sandler, PC, and Matthew Rosinack, managing partner, PricewaterhouseCoopers, LLP.
