The New York Chapter of the National Association of Corporate Directors (NACD) this month is offering a seminar titled Understanding the Risks & Protections in Serving as a Corporate Director in the Post-Enron, Post-WorldCom Era.
The program is scheduled for Wednesday, March 9 from 1 to 2 p.m. at the offices of TIAA-CREF, 730 Third Avenue, New York City. Luncheon will begin at noon.
Directors today face challenges to ensure that they take reasonable steps to make their processes conform to the best corporate government practices. Part of their focus is on Sarbanes-Oxley, SEC and Exchange rules and state law. In the end, however, stockholders expect directors to take prudent risks. Courts respect that and will not second guess their business decisions. Directors who act in good faith have nothing to fear because the business judgment rule is alive and well.
The featured speaker for the seminar is the Hon. E. Norman Veasey, a senior partner at Weil, Gotshal & Manges LLP and former Chief Justice of the Delaware State Supreme Court. Judge Veasey serves as a strategic adviser to Weil Gotshal's clients and advises on corporate governance issues involving the responsibilities of corporate directors in complex financial transactions and crisis management.
