The Greater New York Chapter of the Association of Corporate Counsel-America this month has scheduled a CLE seminar titled Corporate Officers and Directors Beware! ERISA as an End Run Around PSLRA.
The program will take place on Tuesday, June 8 from 12:30 to 2 p.m. at the offices of Nixon Peabody LLP, 437 Madison Avenue, 24th Floor, New York City.
Given Enron, WorldCom and their progeny, enterprising class action lawyers are circumventing the strict pleading requirements of securities litigation by suing under ERISA - claiming a breach of fiduciary duty owed to corporate employees who have invested their 401(k) or profit sharing assets in company stock. These suits are not limited to traditional ERISA fiduciaries. They have been brought against corporate officers, board members and the corporation itself.
Seminar attendees will learn the critical ways in which these cases naming non-traditional "fiduciaries" may be successfully defended and how they may be avoided altogether.
Speakers at the lunchtime session will be Margaret A. Clemens and Eugene D. Ulterino, both of Nixon Peabody, and William Eggers, senior vice president and general counsel, Corning Inc.
