What Corporate Counsel Needs To Know About VSMs And Significant Industry Developments Relating To Meeting Access By Beneficial Owners

Almost everything changed in 2020, and Annual General Meetings were no exception. Companies around the world adopted virtual technology, often on short notice. It was the first time for many issuers. Many lessons learned by all Virtual Shareholder Meeting providers and a range of industry opinions have helped shape new best practices and have identified where new trends are headed. Behind the scenes, two industry groups have been working to evolve VSMs and best practices in two critical areas:

  • Meeting conduct and what shareholders and issuers should expect this year and beyond
  • Significant developments in market “plumbing” that should allow ALL beneficial owners to seamlessly access VSMs, ask questions and vote no matter who you the issuer chooses as their VSM provider

Taken together, these are important developments in shareholder meetings. The new access arrangements will take effect on March 1, 2021.
