Seminar Focus: What's ExpectedFrom CLOs, Corporate Secretaries

The Association of Corporate Counsel and the National Association of Corporate Directors this month are planning another presentation of What the Board Really Expects From the General Counsel and Corporate Secretary.

The program will take place on Wednesday, June 8 from 8:30 a.m. to 4 p.m at the Chicago Club, 81 East Van Buren Street, Chicago.

The relationship between the board and the general counsel and corporate secretary has been tested, even redefined, in the wake of new corporate and governance reforms. Expectations for financial transparency and board accountability remain high since the implementation of Sarbanes-Oxley.

This popular seminar will assist all involved by clearly defining the roles and responsibilities of each in the context of new regulation and the changing board/management dynamics created by those reforms.

Designed to be highly interactive with topics drawn from the participants' priorities and objectives, the program will discuss new developments in corporate governance reform and board liability; key risk oversight issues of greatest concern to the board; the evolving roles of both the general counsel and corporate secretary, and where to draw the new line between being a member of the CEO's management team and responsibilities to the board.

The specific challenges to chief legal and/or governance officers in public, private and nonprofit companies also will be addressed. Discussion leaders will be experienced corporate directors, fellow general counsel, corporate secretaries and key board advisers.
