K&LNG Representing Education Management Corporation In Going-Private Transaction

Lawyers from the private equity, securities, M&A, finance and growth company practices of Kirkpatrick & Lockhart Nicholson Graham LLP (K&LNG) are representing Education Management Corporation in its $3.4 billion acquisition by Providence Equity Partners and Goldman Sachs Capital Partners. This represents the first going-private transaction in the for-profit, post-secondary education market.

Under the terms of the merger agreement signed March 3, the two private equity investment firms would acquire 100 percent of EDMC's common stock for $43 per share in cash. The consummation of the transaction is subject to various regulatory and other conditions.

Private equity partner Robert P. Zinn is leading the team of K&LNG lawyers that includes David A. Edgar, Elliot S. Davis and Ronald D. West, among other K&LNG lawyers from several of the firm's offices including Pittsburgh, Boston, New York and Washington, D.C.
