To The Readers Of The Metropolitan Corporate Counsel

The labor of our volunteer leaders and law firm sponsors has resulted in an excellent year for our chapter. In January, we held our third annual 20-F primer event at a Corporate Lawyering Power Dinner entitled, "Preparing this Year's 20-F: Complying with the New SOX Requirements." The U.S. law firm McDermott, Will & Emery sponsored the program. Mark Selinger, partner resident in the New York office of McDermott, Will & Emery, identified key new sections in the Annual Report on Form 20-F for foreign private issuers under new SEC regulations and provided an update on the new NASDAQ rules with special emphasis on application to foreign private issuers. A panel discussion followed on "Private and Public Companies Beware: Tips for Granting Stock Options Around the World." Maura Rosenfeld, general counsel, RiT Technologies; Anat Moshe, Senior Manager, Ernst & Young; and Mitch Shelowitz, former general counsel, Ceragon Networks and currently counsel at Nixon Peabody LLP, served as panelists. In May, we hosted our Second Annual Corporate Lawyering Conference, which featured practical approaches, essential skills and key insights to help in-house counsel add value to their companies. The topics included examples of real-life commercial practices in the expanding European Union, insights into doing business in Asia; ideas for counseling management on mergers; acquisitions and strategic relationships; discussion of international control issues; essential skills in understanding financial statements; strategies for intellectual property protection and enforcement; and practical approaches for counseling management on public offerings and private placements.
