On Thursday and Friday, January 5 and 6, join the Practising Law Institute for a two-day seminar examining Mergers and Acquisitions in 2012: Trends and Developments. It will be held at PLI’s New York Center, 810 Seventh Avenue in Manhattan.

Day one begins at 9:00 a.m. and ends at 5:15 p.m. Day two begins at 9:15 a.m. and ends at 4:45 p.m.

The recent financial crises and associated turmoil in the capital markets have created extraordinary opportunities for mergers and acquisitions. Stock valuations have fallen dramatically and many companies have been weakened, making them ripe for a takeover. Corporate acquirers, private equity firms and hedge funds are sitting on record levels of cash. This program will familiarize the M&A practitioner with the current landscape for doing deals. A team of top transaction lawyers will walk you through each step in structuring, negotiating and consummating a transaction, with an emphasis on the latest trends.

Topics include how to structure an acquisition; the latest trends in deal protection, financing conditions and “mac” outs; the increasing role of reverse break-up fees; how to navigate the regulatory landscape; and the impact on deals of foreign buyers and strategic buyers.
