Join the Practising Law Institute for a two-day seminar examining Mergers and Acquisitions in 2012: Trends and Developments on Thursday and Friday, January 5 and 6, at the Pennsylvania Bar Institute CLE Conference Center in the Wanamaker Building in Central Philadelphia.

Day one begins at 9:00 a.m. and ends at 5:15 p.m. Day two begins at 9:15 a.m. and the program adjourns at 4:45 p.m.

The recent financial crises and associated turmoil in the capital markets have created extraordinary opportunities for mergers and acquisitions. Stock valuations have fallen dramatically and many companies have been weakened, making them ripe for a takeover. Corporate acquirers, private equity firms and hedge funds are sitting on record levels of cash. This program will familiarize the M&A practitioner with the current landscape for doing deals. A team of top transaction lawyers will walk you through each step in structuring, negotiating and consummating a transaction, with an emphasis on the latest trends.

Topics include how to structure an acquisition; the latest trends in deal protection, financing conditions and “mac” outs; the increasing role of reverse break-up fees; how to navigate the regulatory landscape; and the impact on deals of foreign buyers and strategic buyers.

Among the faculty is Richard A. Goldberg, Dechert LLP; Corinne Ball, Jones Day; David W. Morse, Otterbourg, Steindler, Houston & Rosen, P.C.; and Ernest S. Wechsler, Kramer Levin Naftalis & Frankel LLP.
