The New York City Bar and Penn State Dickinson School of Law will host the Seventh Annual Institute on Corporate, Securities, and Related Aspects of Mergers and Acquisitions. The two-day program is on Thursday and Friday, October 13 and 14. It is at the New York City Bar Association, 42 West 44th Street in New York City.

Day one begins at 8:30 a.m. and ends at 6:00 p.m. Day two begins at 8:00 a.m. and ends at 6:00 p.m.

The institute will provide attendees with an in-depth analysis of significant corporate, securities, and related issues arising in mergers and acquisitions. Each session is structured to provide analysis of important and current M&A issues by some of the leading M&A lawyers, judges, government officials, and investment bankers.

Thursday’s topics include a session titled M&A Investment Bankers and Reporters Discuss Recent Developments. This segment will be moderated by Daniel S. Sternberg of Cleary Gottlieb Steen & Hamilton LLP and the panelists include Dennis K. Berman, The Wall Street Journal; Steven M. Davidoff, New York Times“Deal Professor”; Jane R. Gladstone, Evercore Partners; and Robert A. Kindler, Morgan Stanley.

On Friday a panel will discuss the topic Non-Delaware Law Corporate Governance Issues in M&A and Related Transactions, including Executive Compensation and “Say on Pay”. This discussion will be led by John F. Olson of Gibson, Dunn & Crutcher.

Another topic is Public Company Acquisition: A Mock Negotiation, including Perspectives on Delaware Corporate Law, Antitrust, Proxy Solicitations, and Public Relations. Speakers for this session include Richard E. Climan, Dewey & LeBoeuf LLP; George R. Bason Jr., Davis Polk & Wardwell LLP; and Frederick S. Green, Weil, Gotshal & Manges LLP.
