ACC Northeast Chapter And Skadden To Co-Host Program On Compensation Issues

Titled Barbarians at the Gate! Preparing For Compensation Issues in Business Acquisitions (for Barbarians and Romans), the program has been scheduled for September 10, 2008 in the offices of Skadden, Arps, Slate, Meagher & Flom LLP at One Beacon Street, Boston. Registration is at 3:30 p.m. followed by the program from 4:00 to 5:45 and then a cocktail reception.

In an ever-changing business climate, acquisition transactions may arise seemingly out of nowhere. When they do, especially when your company is the target, you will want to be sure that your company is equipped with well-considered and well-crafted change in control protections. Among the topics expected to be covered are: the design and implementation of change in control agreements; treatment of equity awards; RIFs, potential discrimination and WARN; disclosure considerations; "golden parachute tax issues and workforce issues; and special issues and considerations in "two-step" acquisitions.The presentation will also cover recent changes in the law governing nonqualified deferred compensation which can affect change in control protections and which may require action by the end of 2008.
